Terms of Service
Effective date: 14 October 2026
These Terms of Service ("Terms") are an agreement between SunDevs (Pvt) Ltd ("SunDevs", "we", "us") and the person or organization that creates a SunLicense account ("you", "Customer"). They cover SunLicense Cloud, the dashboard, the APIs, the official SDKs and CLI, the documentation and the status page (the "Service").
By creating an account, clicking "Create account", or using the Service, you accept these Terms. If you accept on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" means that organization.
1. Who may use the Service
You must be at least 18 years old and able to form a binding contract. The Service is meant for businesses and individual developers who sell or distribute software. It is not a consumer product.
You may not use the Service if you are barred from receiving it under the laws of Sri Lanka or any other applicable jurisdiction, including sanctions and export-control laws.
2. Your account
- Give accurate information when you sign up and keep it current.
- Keep your password, API keys, platform tokens and Ed25519 signing keys secret. You are responsible for everything done with your account and keys, including by staff members you invite.
- Tell us at [email protected] straight away if you think your account or a key has been compromised. You can revoke API keys yourself in the dashboard.
- Each organization has an Owner. The Owner controls the organization, its staff and its data.
3. What the Service does, and what it does not
SunLicense lets you issue license keys, limit how many machines can use them, check them from your software, and revoke them. It reduces casual piracy such as key sharing. It cannot make your software impossible to crack. Anyone with full control of a computer can modify a program running on it, and we make no promise that the Service will stop all unauthorized use of your software.
You decide how your software reacts to a validation result, including whether it keeps working offline or when the Service cannot be reached. Build your software so that an outage of the Service, or of your customer's internet connection, does not harm your customers more than you intend. The offline licenses feature exists for this.
4. Alpha and beta features
SunLicense Cloud is currently in open alpha. During the alpha:
- the Service is provided free of charge;
- features, limits and APIs may change or be removed, sometimes without notice;
- there is no uptime commitment or service-level agreement;
- we may reset or migrate data as part of development, and will try to warn you first.
Features labelled alpha, beta, preview or similar are provided on the same basis even after the alpha ends.
5. Plans, fees and payment
Plans and limits describes the plans. Once paid plans start:
- Fees are billed in advance for each billing period (monthly or yearly) and renew automatically until you cancel.
- Prices exclude taxes. You pay any sales, use, VAT, GST or similar taxes that apply, other than taxes on our income.
- Payments are processed by a third-party payment provider. Its terms also apply to the payment.
- If a payment fails we may suspend paid features after reasonable notice. License validation for your customers keeps working, as described in the plan pages.
- We may change prices with at least 30 days' notice. The new price applies from your next billing period.
- All payments are final and non-refundable. See the Refund policy.
We will give plenty of notice before paid plans start. Nothing is charged during the alpha.
6. Cancelling and closing your account
You can stop using the Service at any time. Once paid plans exist, cancelling stops the next renewal; your plan stays active until the end of the period you have paid for, and there is no refund for the remaining time.
To close your organization and delete its data, email [email protected] from the Owner's address. What happens to your data after that is described in the Data retention policy. Once your organization is deleted, license keys you issued stop validating, so move your customers to another system first if you need them to keep working.
7. Your data
"Customer Data" is everything you or your software put into the Service: products, policies, licenses, the customer names and emails you attach to licenses, machine fingerprints and hostnames, validation history and similar.
- You own your Customer Data. You give us a limited licence to host, copy, process and display it only to provide, secure and improve the Service and as these Terms allow.
- You are responsible for having a lawful basis to collect your customers' data and send it to us, and for telling your customers about it (for example, in your own privacy policy and end-user licence agreement).
- When we process personal data on your behalf, the Data processing addendum applies and forms part of these Terms.
- How we handle personal data about you and your staff is described in the Privacy policy.
You can export your data through the Management API. Keep your own copies of data that matters to you.
8. Acceptable use
You must follow the Acceptable use policy. In short: use the Service only to license software you have the right to distribute, don't attack or overload it, and don't use it for anything illegal.
9. Our intellectual property
The Service, including its software, design, documentation and the SunLicense name and logos, belongs to SunDevs and its licensors. These Terms give you a non-exclusive, non-transferable right to use the Service while your account is active. The official SDKs are open source under the MIT License, and that licence governs the SDK code itself (see Licenses and attributions).
If you send us feedback or suggestions, we may use them without any obligation to you.
10. Suspension and termination
We may suspend or close your account, with notice where reasonably possible, if:
- you breach these Terms or the Acceptable use policy;
- your use creates a security risk or could harm the Service, other customers or third parties;
- we are required to by law or by a court or authority; or
- a paid account is overdue after notice.
We may also stop offering the Service, or end the alpha, with at least 30 days' notice. If we do so for reasons other than your breach, we will give you time to export your data.
Sections 7 (data ownership), 9, 11, 12, 13 and 15 survive termination.
11. Disclaimer
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free operation. We do not warrant that the Service will prevent piracy, that validation results will always be available, or that location data shown in the dashboard is accurate.
12. Limitation of liability
To the fullest extent permitted by law:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales, data or goodwill, even if told they were possible;
- SunDevs' total liability arising out of or relating to the Service or these Terms is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) USD 100.
These limits do not apply to liability that cannot be limited by law, such as for fraud.
13. Indemnity
You will defend and indemnify SunDevs against third-party claims, and the resulting losses and reasonable costs, arising from your software, your Customer Data, your relationship with your own customers, or your breach of these Terms or of law.
14. Changes to these Terms
We may update these Terms. For material changes we give at least 30 days' notice in the dashboard or by email. If you don't agree, stop using the Service before the change takes effect. Continuing to use it afterwards means you accept the new Terms.
15. General
- Governing law and courts. These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka, without regard to conflict-of-law rules. The courts of Colombo, Sri Lanka have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any competent court.
- Entire agreement. These Terms, together with the documents they link to, are the whole agreement about the Service and replace earlier understandings.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets, with notice to you.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages of upstream providers, natural disasters or government action.
- Severability and waiver. If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.
- Notices. We send notices to the Owner's email address or show them in the dashboard. Send notices to us at [email protected].
